Sites: https://www.utelx.online (main) and https://www.utelx.net, plus related pages, checkout, apps, and services (together, the “Service”). By visiting either Site, creating an account, joining a waitlist, or buying a membership, you agree to these Terms. If you do not agree, do not use the Service. The current Terms are posted at https://www.utelx.online/terms and https://www.utelx.net/terms-and-conditions-of-use.
The Service includes those Sites and any related websites, membership areas, Watch, Messages, Public Square, Super Grok or other AI features, SMS or email notifications, applications, buttons, widgets, published APIs, and other UTelX features that link to these Terms. “Content” means information, text, links, graphics, photos, audio, videos, messages, files, or other materials uploaded, downloaded, generated, or appearing on the Service — including Content from you, other members, us, or third parties. These Terms also apply if you use the Service on someone else’s device or account you are allowed to use.
1. What UTelX is
UTelX is a membership Service intended to combine video (“Watch”), messaging (“Messages”), and a public feed (“Public Square”), with optional AI assistance described as Super Grok or similar.
UTelX is not affiliated with, endorsed by, or part of YouTube, TikTok, Telegram, X Corp., xAI, Google, or their owners. Names of those products are used only to describe the kind of features we aim to offer. The Service is sold in waves. Some features may be preview, limited, or not yet live when you pay. Buying a membership is a purchase of access to the Service as it exists and as it is rolled out, not a guarantee that every described feature is available on day one.
The Service may also include member discussion areas (“Forum”), profiles, lists, search, notifications, and other member tools as they launch. Some features may have extra posted rules. If you use those features, those extra rules apply too. If they conflict with these Terms, the extra rules control only for that feature. Section 5 still applies.
Watch videos may be transcoded, stored, and streamed by us or our vendors so they can play on different devices. Messages are meant for the people in that chat, but we and our processors may access them to operate, secure, or moderate the Service, or if the law requires it, as described in the Privacy Policy. Public Square, Forum, and public profiles may be visible to other members or anyone on the internet, depending on settings then in force. We may rank, recommend, limit, or hide posts to run the feed. Super Grok prompts may be sent to a model provider (for example xAI) as described in the Privacy Policy. None of that is a guarantee of quality, delivery, or that a message or video will stay available.
2. Eligibility
You must be at least 18 years old (or the age of majority where you live) and able to form a contract. You are responsible for the accuracy of the information you give us and for all activity on your account. One person, one founding account unless we say otherwise in writing.
You may use the Service only if you are not barred from receiving it under the laws of the United States or any other applicable jurisdiction, including export and sanctions rules in Section 19. If you accept these Terms on behalf of a company, organization, government, or other legal entity, you represent that you are authorized to bind that entity, and “you” includes that entity. You may not accept these Terms to authorize a minor to use the Service. We may refuse, limit, or condition registration or access.
3. Accounts
You must keep your login details secret. Notify us if you think the account is compromised. We may suspend or close accounts that are shared, resold, abusive, unpaid, or that violate these Terms. We may require verification (email, payment, or identity checks) to reduce fraud.
Use a strong, unique password. If we offer two-factor authentication, we recommend you turn it on. We are not liable for loss or damage from your failure to protect the account. If you add a phone number or email and later change or drop it, update your account so we do not contact whoever gets the old number or inbox.
We may send service announcements and administrative messages. Those are part of the Service. You may not be able to opt out of them. Marketing mail is covered by the Privacy Policy.
4. Memberships and prices
4.1 Tier 1 Founders — $11.00 per year
Tier 1 Founder membership is $11.00 per year while that offer is active for that account.
- Use: access to member features then available, including the monthly usage allowance described in Section 4.6, subject to fair use (Section 8). Use beyond the allowance is available only through optional credits you choose to buy (Section 4.6).
- Price lock: If you stay an active Tier 1 Founder in good standing, we will not raise your annual rate to a later Founder or public price solely because later plans cost more.
The lock is a rate lock only. It is not a one-time lifetime payment, a free plan, equity or ownership in UTelX, or a promise that every advertised feature ships on a fixed date.
4.2 Tier 2 Founders — first 100,000 at $99.00 for life
The Tier 2 Founder offer is limited to the first 100,000 paid Tier 2 accounts, or fewer if we close the offer earlier.
- Price: USD $99.00
- Price lock: If you are one of the first 100,000 Tier 2 Founders and you stay an active member in good standing, you keep the $99.00 rate for life.
- Use: access to member features then available, including the monthly usage allowance described in Section 4.6, subject to fair use (Section 8). Use beyond the allowance is available only through optional credits you choose to buy (Section 4.6).
The lock is a rate lock only. It is not a one-time lifetime payment, a free plan, equity or ownership in UTelX, or a promise that every advertised feature ships on a fixed date. You must keep the membership active (including any required renewals shown at checkout) to keep the locked rate.
4.3 After Tier 2 Founders / public pricing
After the first 100,000 Tier 2 Founder seats are filled, or after we retire the Tier 2 Founder offer, new members pay the then-current public price.
Public pricing:
- may be monthly, yearly, or both
- is subject to change at any time without notice
- is not locked to the Tier 1 $11.00 rate or the Tier 2 $99.00 rate
4.4 If you cancel and return
If you cancel, let the membership lapse, or we close the account for cause, your Founder rate may end. Rejoining after your original Founder offer is closed is at the then-current public price, which may be monthly, yearly, or both, and may have changed.
4.5 Billing
Payments are processed by Kajabi and its payment providers (for example card networks or Stripe). Their terms also apply. Prices are in USD unless the checkout shows another currency. Taxes may be added where required. Memberships renew automatically on the schedule shown at checkout until you cancel.
Credit packs (Section 4.6) are separate one-time purchases. They are not part of your membership fee and do not renew. Credit packs are processed by Stripe inside the Service. That processor’s terms also apply. Prices are in USD unless the checkout shows another currency. Taxes may be added where required. We never charge your card for credits unless you choose to buy a pack.
4.6 Monthly allowance and Founder Usage Credits
Some features (storing video, watching video, Super Grok / Grok Bot chat, One Brain briefings and searches, and imports from X) cost us real money every time they are used. This section explains what your membership includes each month and how you can get more if you want it.
(a) Your choice after you join. After you buy a Founder membership, you choose one of these two options:
- Option A: Free Limited Service. You get the monthly allowance in Section 4.6(b) and nothing beyond it. When you reach a limit, that feature pauses until your allowance resets. You are never billed anything beyond your membership fee.
- Option B: Pay-as-you-go. You get the same monthly allowance. After you use it up, you can keep using paused features by spending credits from packs you choose to buy (Section 4.6(d)). There are no automatic charges.
If you don’t choose, your account uses Option A (Free Limited Service). You may switch between Option A and Option B at any time in Settings, in either direction. Switching never charges your card.
(b) Monthly allowance. Each Founder account gets this each month at no extra charge:
| Feature | Free allowance |
|---|---|
| Video library: minutes of your uploaded video kept on UTelX at any one time (not per month) | 30 minutes |
| Video watched (minutes delivered) | 200 minutes per month |
| Super Grok / Grok Bot chats (standard model) | 20 messages per month |
| One Brain briefings or searches | 2 per month |
| X post imports | 10 per month |
| Emails we send you (notices and alerts) | about 10 per month; sign-in emails are always free and never count |
The monthly parts of the allowance reset on the 1st of each calendar month, America/Phoenix time. Unused allowance does not carry over to the next month. The 30-minute free video library does not reset. It is the amount of video you may keep at any one time, and it stays as long as your membership is active.
(c) What a credit is. Credits are units you use to keep using features after your allowance runs out. Each feature uses a set number of credits per action, as shown in Schedule A and on the in-app rate card. Credits are not money, have no cash value, cannot be exchanged for cash, and cannot be sold, transferred, or gifted to another account. Credits can be used only on the account that bought them, for features of the Service.
(d) Credit packs. Pay-as-you-go members may buy credit packs in the app. The packs currently offered are:
| Pack price (USD) | Credits |
|---|---|
| $5 | 3,800 |
| $10 | 7,700 |
| $25 | 19,200 |
The checkout screen shows the current packs, prices, and credit amounts, and that screen controls. We add the credits to your balance once your payment succeeds. Each purchase is a separate one-time payment that you start by tapping “Buy pack”. We do not offer auto-recharge, and we do not charge a saved card to top up your balance.
(e) Order of use; rollover. Your free allowance is always used first. Credits are used only after the allowance for that feature is used up for the month. Unused credits roll over from month to month and do not expire while your membership is active. What happens to unused credits if you cancel, lapse, or rejoin is in Section 6.
(f) Usage meter and alerts. Your account shows a usage meter with how much allowance and how many credits you have left, in plain numbers (for example “12 of 20 Grok chats left”). We alert you in the app and by email when you reach 80% and again at 100% of your allowance, and of your credit balance if you have one. These alerts are service messages (see Section 3). Alerts help you keep track, but your usage meter is the official record.
(g) When you reach a limit. When a feature’s allowance is used up and you have no credits (or you’re on Option A), the feature pauses. You’ll see a message and, on Option B, a “Buy pack” button. We never bill you because you hit a limit. Other features, and anything you have already posted, keep working unless this section says otherwise.
(h) How usage is measured. We measure usage with our own systems and our vendors’ systems. Video minutes watched are counted by our video provider. That count can include preloading and buffering, not only minutes you actually watched. The number of credits for each action is rounded up to a whole credit. The deeper AI answer option (“deep answer”, using a more advanced model) is opt-in and uses more credits than a standard chat, as shown in Schedule A. Standard chat is the default.
(i) Stored video beyond the free library. You may keep more than the free 30-minute library only by using credits. Each extra minute of stored video uses 5 credits per month, taken from your credit balance on the 1st of each calendar month, America/Phoenix. If your credits are running low or run out:
- We warn you at 80% and again when your balance reaches zero.
- New uploads pause until you add credits or bring your library back under the free amount.
- If you haven’t added credits or reduced your library within 60 days after your balance reaches zero, we may archive your oldest extra videos (never videos within your free 30-minute library) until your library is back within what your allowance and credits cover. Archive means we hide those videos from playback (we do not silently delete them). We will give you a chance to download those videos before that happens.
Your free 30-minute library is not affected by this process while your membership is active.
(j) Who pays for viewers. Playback of uploaded video on the Service is for signed-in members only. Non-members cannot play uploaded member video.
(k) Fair use still applies. The allowance and credits don’t replace Section 8. We may still limit, throttle, or suspend abusive or automated use, even if you have allowance or credits left.
(l) Changes. We may change the allowance, the features covered, credit costs per action (Schedule A), and pack prices or sizes. We will post changes in the app before they apply and give 30 days’ notice of any change that reduces your allowance or increases the credits an action uses. Changes do not reduce the number of credits already in your balance. Changing pack prices affects only packs bought after the change. Exact rates are published in Schedule A and on the in-app rate card; the in-app rate card and checkout control day-to-day numbers if they differ from Schedule A, and the 30-day notice still applies to any change that reduces your allowance or increases credits per action.
(m) Your Founder rate lock is not affected. Credits are an optional add-on. Offering credits, or changing credit prices, does not raise your locked Tier 1 or Tier 2 membership rate in Sections 4.1 and 4.2.
5. NO REFUNDS
All sales are final. We do not offer refunds.
That includes, without limitation:
- Tier 1 Founder fees ($11.00 per year)
- Tier 2 Founder fees ($99.00)
- Public membership fees (monthly, yearly, or any later rate)
- Renewals, upgrades, add-ons, and taxes collected at checkout
- Payments made by mistake if the account received or could have received access
- Dissatisfaction with features, design, launch timing, AI answers, moderation, or downtime
- Change of mind, unused time, or unused features
- Duplicate purchases, except that we may, at our sole option, apply a credit or cancel a true double charge
- Credit packs, and any unused, unspent, or remaining credits, including when you switch options, cancel, let your membership lapse, or your account is closed
- Credits used on actions that were measured as described in Section 4.6(h) (for example, buffered video minutes or AI answers you didn’t like)
By completing checkout you acknowledge that:
- This is a digital membership / pre-sale access product.
- Access or the right to access may begin immediately.
- You waive any right to a refund to the maximum extent permitted by law.
If a card network, bank, or UTelX forces a chargeback, we may close the account and recover fees, and you remain responsible for any unpaid amounts. Where the law requires a refund, we will comply with that law only to the extent it cannot be waived. If you have a mandatory statutory right, email us before you charge back.
We may, in our sole discretion, issue a goodwill credit or goodwill usage credits. That is not a change to this No Refunds policy.
6. Cancellation
You may cancel auto-renewal at any time in your Kajabi / UTelX account settings or by emailing the support address on the Site. Cancellation stops future renewals. It does not create a refund for the current paid term. You keep access until the end of the period already paid, unless we terminate the account for violation of these Terms. Canceling or lapsing may end your Tier 1 or Tier 2 Founder locked rate.
If you cancel or let your membership lapse, your monthly allowance continues until the end of the period you have already paid for. Unused credits stay available through the end of that paid period. If you rejoin (renew or repurchase a Founder membership) within 90 days after the paid period ends, any unused credits return to your balance. If you do not renew within 90 days, unused credits end. If we close your account for violating these Terms, any unused credits end immediately. Section 5 applies either way.
You may also end this agreement by deactivating or closing your account (when that control is available) and stopping use of the Service. Ending the agreement does not create a refund. See Section 5.
We may suspend, limit, or terminate your access or close your account, with or without notice, if we reasonably believe it is needed to: enforce these Terms; protect UTelX, members, or the public; comply with law or a competent authority; reduce legal or regulatory risk; stop fraud, security, or technical abuse; reclaim a username after prolonged inactivity; or address commercial inviability of providing the Service to you. We may also remove or refuse Content, limit how widely it is shown, or reclaim handles. Section 5 still applies. Termination for cause may end a Founder rate as described in Section 4.4.
After the agreement ends, you must stop using the Service. Sections that by their nature should continue — including pricing acknowledgments, NO REFUNDS, licenses we need to operate Content already posted or cached, our content and brands, disclaimers, limitation of liability, indemnity, governing law, and this survival sentence — survive.
7. Acceptable use
You agree not to:
- Break the law, incite crime, or post illegal content
- Harass, stalk, threaten, or exploit others
- Upload malware, scrape the Service in an abusive way, or attack our systems
- Impersonate people or brands, or misrepresent affiliation with YouTube, TikTok, Telegram, X, xAI, or UTelX
- Resell, rent, or sublicense your membership
- Spam, manipulate metrics, or run unauthorized bots
- Infringe copyright, trademarks, or other rights
- Use the Service to collect personal data from others without a lawful basis
- Attempt to extract model weights, bypass paywalls, or abuse AI usage
- Post or share sexual content involving anyone 17 or under, or any child sexual abuse material
- Post non-consensual intimate images, or other people’s private personal data (doxxing) without a lawful basis
- Access the Service except through the currently available, published interfaces we provide
- Crawl, scrape, harvest, or index the Service (automatically or by hand) without our prior written permission
- Work around technical limits, or reverse engineer, decompile, or disassemble our software, except where the law expressly allows it
- Access, tamper with, or use non-public areas of the Service, our systems, or our providers’ delivery systems
- Probe, scan, or test vulnerability, or bypass security or authentication, without our written permission
- Forge headers or send altered, deceptive, or false source-identifying information
- Interfere with other members’ use, including flooding, overloading, or scripting Content in a way that burdens the Service
- Abuse reporting, appeals, or support tools with false or bad-faith reports
- Help others violate these Terms, including by selling tools that make it easier
We may remove content, limit features, or close accounts without a refund if you violate this section. If you find a security issue, email creator@utelx.net and give us a reasonable chance to fix it. Do not exploit the issue, steal data, or interrupt the Service. Repeated violations may cause harm that money cannot fully fix, and we may seek an injunction or other court order in addition to the remedies in these Terms.
You are responsible for your use of the Service and for Content you provide, including compliance with these Terms and all applicable laws. Only post Content you are comfortable sharing with the audience your settings allow. Do not present another person’s or brand’s identity as your own. Do not suggest UTelX, YouTube, TikTok, Telegram, X Corp., xAI, or any other company endorses you unless they actually do.
8. Fair use (video, messaging, AI)
Your membership includes the monthly allowance in Section 4.6. Use beyond that allowance is available only through optional credits you choose to buy. Nothing on the Service means infinite bandwidth, storage, or AI use. If any page, ad, or older material describes a membership as “unlimited”, Section 4.6 controls. We may apply technical limits to protect the Service, including caps on uploads, live streaming, file size, group size, API/AI calls, and automated use. Abuse, resale of AI output, or load that harms other members may be throttled or suspended without a refund. AI answers can be wrong. Do not rely on them as legal, medical, financial, or safety advice.
Super Grok and any other AI feature are optional tools. Prompts and files you submit may be sent to a model provider so a reply can be generated, as described in the Privacy Policy. Do not put secrets, card numbers, health data, or other people’s private data into an AI widget. Output can be incomplete, biased, or made up. No oral or written statement from the AI, from us, or through the Service creates professional advice or a warranty beyond these Terms. You remain responsible for how you use AI output. Do not use AI features to generate malware, spam, scams, impersonation, sexual content involving minors, or anything else these Terms forbid. Do not treat AI output as a substitute for a licensed professional. Do not try to jailbreak, extract hidden system instructions, or force the model to ignore these Terms.
9. Your content
You keep ownership of content you post. You grant UTelX a worldwide, non-exclusive license to host, display, moderate, and distribute that content as needed to run the Service. You represent that you have the rights to post it. We may remove content that appears to violate law or these Terms. Public Square posts may be visible to other members or the public, depending on settings then in force.
That license is royalty-free and includes the right to sublicense to vendors who help us run the Service. It also includes the right to use, copy, reproduce, process, adapt, modify, publish, transmit, translate, upload, download, display, and distribute your Content in any media now known or later developed, so we can operate, promote, and improve Watch, Messages, Public Square, Super Grok / AI, and the rest of the Service. That includes curating, transforming, or formatting Content so it works on different devices and surfaces, and analyzing text and other information you provide as described in the Privacy Policy. If a feature lets you limit who can see a post or message, we will respect that choice for distribution on the Service, but we may still process the Content to deliver, moderate, back up, and legally review it.
You will not be paid extra for this license. Access to the Service is enough consideration. The license lasts as long as your Content remains on the Service (including caches, backups, shares, and quotes other members made before you deleted a post). Deleting Content or closing the account does not require us to pull copies that already left our reasonable control.
You are solely responsible for Content you submit. You must have all rights, licenses, and permissions needed, and the Content must not violate law or these Terms. We do not endorse, support, or guarantee the completeness, truthfulness, accuracy, or reliability of Content posted by you or others, or any alleged facts or opinions in it. By using the Service you may see Content that is offensive, harmful, inaccurate, mislabeled, or deceptive. Any use of or reliance on Content is at your own risk. We may not monitor every item, and we are not responsible for Content originated by others.
We may remove, refuse, limit the reach of, or disable access to Content that appears to violate these Terms or the law — including copyright or trademark issues, impersonation, unlawful conduct, or harassment — or that creates legal or safety risk. We may also do so to protect the Service or other members, or to comply with a lawful request. How to report Content is in Section 20.
10. Our content and brands
The UTelX name, logos, site design, software, and documentation are ours or our licensors’. You may not copy them except as needed to use the Service.
Subject to these Terms, we give you a personal, worldwide, royalty-free, non-assignable, non-exclusive license to use the software we provide as part of the Service, only so you can use the Service in the way these Terms allow. You may not assign, gift, sell, share, or transfer that license without our written consent. All other right, title, and interest in the Service (except Content you own) stays with us and our licensors. Nothing here gives you a right to use the UTelX or U Tel X name, logos, domain names, or other brand features except as needed to identify a truthful link to the Service.
Feedback, comments, or suggestions you send about UTelX or the Service are voluntary. We may use them without restriction or payment and without any obligation to you.
11. Third-party services
Checkout, email, hosting, video, payments, and AI may be provided by third parties (including Kajabi and xAI). Their outages or rule changes are outside our full control. We are not liable for third-party failures beyond refunds we are legally required to give — and Section 5 still applies.
If you import from YouTube, X, or TikTok, you must own that account or have the rights to share what you save. Those videos and posts play or display through the other service. UTelX does not download the video file, does not re-host it, and does not post, comment, or message on YouTube, X, or TikTok for you. TikTok videos play in TikTok’s embed player. You can disconnect TikTok, YouTube, or X on the Import page and delete saved copies from Watch, Shorts, or the Feed. Their terms and privacy notices apply to their sign-in and players.
The Service may show Content, links, ads, widgets, or tools from other members or third parties. We do not control or endorse those materials. If you follow a link or use a third-party service, their terms and privacy notices apply, and you do so at your own risk. Mention of another product or site is not an affiliation, sponsorship, or endorsement.
12. Availability and changes
We may change, pause, or discontinue features. We may update these Terms by posting a new version on https://www.utelx.online, https://www.utelx.net, or both. We may also post the update at https://www.utelx.online/terms and https://www.utelx.net/terms-and-conditions-of-use. Continued use after the update is acceptance. Material price changes for new / public customers do not by themselves void an active Tier 1 $11.00-per-year lock or an active Tier 2 $99.00-for-life lock described in Sections 4.1 and 4.2, as long as that Founder account stays active and in good standing. We do not guarantee uninterrupted uptime.
Updates to these Terms are not retroactive. The version with the newest “Last updated” date on the Sites is the current version. For material changes we will try to give notice — for example by posting on the Sites, an in-product notice, or email to the address on your account. If you do not agree to an update, stop using the Service and cancel as in Section 6. Stopping use does not create a refund.
We may create limits on use and storage at any time. We may stop providing the Service or any feature, to you or to users generally, permanently or temporarily. We may access, preserve, and disclose information when we reasonably believe it is needed to: satisfy law, legal process, or a government request; enforce these Terms; detect or address fraud, security, or technical issues; answer support requests; or protect the rights, property, or safety of UTelX, members, or the public. How we handle personal data is described in the Privacy Policy.
We do not promise to store every video, message, post, or file forever, or that a backup will exist. Keep your own copies of Content you care about. We may delete inactive accounts, unused uploads, or Content that exceeds limits. For video stored beyond your free library, we follow the warning and download process in Section 4.6(i) before archiving it.
13. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will match YouTube, TikTok, Telegram, or X, or that Super Grok / AI features will be available in every country or at all times.
To the maximum extent permitted by law, we also disclaim responsibility for: the completeness, accuracy, availability, timeliness, security, or reliability of the Service or any Content; harm to your device, loss of data, or other harm from using the Service or Content; deletion of, or failure to store or transmit, Content or communications; and whether the Service will meet your needs or run without interruption, security issues, or errors. Your access to and use of the Service and Content is at your own risk.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UTELX AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE IS LIMITED TO THE MEMBERSHIP FEES AND CREDIT PACK PURCHASES YOU PAID TO US IN THE 12 MONTHS BEFORE THE CLAIM — AND IN NO EVENT A REFUND BEYOND WHAT SECTION 5 AND APPLICABLE LAW ALLOW. Some places do not allow these limits. In those places, our liability is limited to the minimum the law requires.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE ALSO NOT LIABLE FOR OTHER MEMBERS’ OR THIRD PARTIES’ CONDUCT OR CONTENT ON THE SERVICE (INCLUDING DEFAMATORY, OFFENSIVE, OR ILLEGAL CONTENT), FOR CONTENT YOU OBTAIN FROM THE SERVICE, OR FOR UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. These limits apply to any theory of liability (contract, warranty, statute, tort including negligence, or otherwise), even if we were told damage was possible, and even if a remedy fails of its essential purpose.
15. Indemnity
You will defend and hold UTelX harmless from claims arising out of your content, your use of the Service, or your violation of these Terms or the law.
That includes claims by other members or third parties about Content you posted, your impersonation or infringement of their rights, or your misuse of Super Grok / AI output. We may choose our own counsel. You will cooperate reasonably.
16. Governing law
These Terms are governed by the laws of the jurisdiction in which the UTelX operator is established, without regard to conflict-of-law rules, except where consumer law in your country cannot be waived. United States of America, State of Arizona, USA. Disputes will be resolved in the courts of that place, unless a mandatory consumer forum applies.
Except where a mandatory consumer forum applies, you agree that disputes related to these Terms or the Service — including disputes about other members’ or third parties’ use of the Service or Content they make available — will be brought in the state or federal courts located in Arizona, United States. You consent to personal jurisdiction there and waive any claim that those courts are an inconvenient forum. We may, at our option, also bring a claim against you in a competent court where you live. To the extent the law allows, you waive the right to participate as a plaintiff or class member in any class, collective, or representative action.
To the extent the law allows, you must start any claim related to these Terms or the Service within one (1) year after the events giving rise to it. After that, the claim is barred. This does not shorten a period that the law says cannot be shortened.

18. Privacy
Our Privacy Policy explains what we collect, how we use it, and the choices you have. By using the Service you agree to that Policy. The Service is operated from the United States. If you use it from another country, your information may be processed in the United States and in other places where our vendors sit, as described in the Privacy Policy.
19. Export controls and sanctions
The Service is a United States offering. You may not use it if you are located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions, or if you are on a U.S. or other applicable denied-party or restricted-party list, or if applicable law otherwise bars you from receiving the Service. You may not use the Service to export or re-export software, technical data, or AI output in violation of U.S. export or sanctions rules.
20. Copyright and other IP complaints
If you believe Content on the Service infringes your copyright, trademark, or other intellectual property right, email creator@utelx.net with:
- Your name and contact email
- A description of the work you own and the Content you object to
- The URL or other location of that Content on the Service
- A statement that you have a good-faith belief the use is not authorized by the owner, its agent, or the law
- A statement, under penalty of perjury, that the information is accurate and that you are the owner or are authorized to act
- Your physical or electronic signature
We may remove or disable the Content, tell the poster, and close repeat infringers. If you posted Content that was removed and you believe it was a mistake, email the same address with a counter-notice explaining why. This process is how you notify UTelX. It does not make UTelX a party to your dispute with another user, and it does not change Section 5.
21. Entire agreement
These Terms, the checkout page, and any posted Privacy Policy are the entire agreement. If one clause is unenforceable, the rest remains in force. Our failure to enforce a clause is not a waiver. By paying, you confirm you have read Section 4 (pricing, including Section 4.6 on the monthly allowance and credits) and Section 5 (NO REFUNDS) and still want to buy.
These Terms are written in English. If we later post a translation and there is a conflict, the English version controls. A waiver of one breach is not a waiver of later breaches. You may not assign these Terms without our consent. We may assign them in connection with a reorganization, sale, or operation of the Service. Headings are for reading only. These Terms do not create a partnership, joint venture, employment, or agency relationship. Notices to you may be posted on the Service or sent to the email on your account. Notices to us go to creator@utelx.net.

Exact rates are published here and on the in-app rate card. The in-app rate card and checkout show current rates and control day-to-day numbers if they differ from this table. Rates change only as described in Section 4.6(l); a change that increases credits per action still requires 30 days’ notice.
